These Terms of Use (“Terms”) are entered into by and between you (“User,” “you”) and RitePath, Inc. (“RitePath,” “we,” or “us”). These Terms govern your access to and use of the RitePath website, platform, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. You represent that you are at least 18 years old and have the authority to enter into this agreement. These Terms expressly incorporate by reference the Privacy Policy.

1. Use of the Platform

RitePath grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business or personal use.

You agree not to:

• Reverse engineer, copy, or create derivative works of the Platform
• Use the Platform to build a competing product
• Violate any applicable laws or regulations
• Interfere with or disrupt the Platform’s functionality

2. User Accounts

You may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized use

You are responsible for all activity under your account.

3. User Content / SMS/ Text Messaging

You may upload or submit content (“User Content”) to the Platform. You retain ownership of your content, but grant RitePath a worldwide, non-exclusive, royalty-free license to use, store, display, and process such content for the purpose of operating the Platform.

You are solely responsible for your content and agree not to upload anything that:

• Violates intellectual property rights
• Is unlawful, harmful, or misleading

SMS/Text Messaging

If you opt in to receive text messages from RitePath:

• Message frequency varies
• Message and data rates may apply
• Reply STOP to opt out; HELP for help

4. Data Ownership and Usage

You retain all ownership rights to any data, content, or materials submitted, uploaded, or otherwise provided to the Platform (“User Data”). RitePath does not claim ownership of User Data.

However, you grant RitePath a worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and analyze such User Data solely for the purpose of operating, improving, and providing the Platform and related services.

5. Intellectual Property Rights

You acknowledge the Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by RitePath, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You agree not to delete or alter any copyright, trademark or other proprietary rights notices from any materials or content from this Website.

These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website.

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of these Terms of Use, your right to use the Website will cease immediately, and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to any downloadable materials, Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by RitePath. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws. There are no implied licenses granted to you under these Terms of Use.

9. Limitation of Liability

YOUR ACCESS TO, AND USE OF THE WEBSITE IS AT YOUR OWN DISCRETION AND YOUR SOLE RISK, YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OF USE (FOR ANY CAUSE WHATSOEVER REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIME BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM DOES NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR AFFILIATES, LICENSORS AND SERVICE PROVIDERS, WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS OF USE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend and indemnify RitePath from any claims arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or third-party rights

11. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason.

12. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in Miami-Dade County, Florida.

13. Arbitration Agreement

Any disputes shall be resolved through binding arbitration on an individual basis. You waive the right to participate in class actions or jury trials.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
